Why now
13 deadlines

Thirteen dated compliance and technology deadlines fall between December 2026 and December 2027. Each one starts a project. See the trigger calendar.

  • NIS2UmsuCG in force since 6 Dec 2025, with no transition period. About 29,500 entities are in scope; the BSI registration grace period ended on 31 Jul 20262628.
  • KRITIS-Dachgesetz in force since 17 Mar 2026. Registration opened on 17 Jul 2026; risk analyses follow within nine months3230.
  • BSI C5:2026 published in March 2026. Type 2 audit periods starting from 1 Jun 2027 must use it, and hospitals may use only C5-attested cloud for health data33.
  • Threat level: Bitkom puts cyberattack damage to German business at €202.4B a year; the BSI counts about 119 new vulnerabilities a day144.
Recommended entry model
Partner-led

German DC partners plus local Systemhaus / MSP resellers first. Open a German GmbH between month 6 and 12.

  • Host customer data in XcellHost's Frankfurt and Düsseldorf partner DCs, so the hosting itself stays in Germany and is not a third-country transfer.
  • A GmbH needs €25,000 of share capital, at least €12,500 paid in before registration41. It lets us bill in EUR and issue German e-invoices.
  • Run tooling, playbooks and the second line from the Mumbai 24×7 NOC & SOC, with Commission standard contractual clauses for any personal data55.

TAM · SAM · SOM for XcellHost

From the whole market to what we can realistically win

TAM is the sum of three separate estimates: cloud 2025 (Mordor), IT security 2025 (Bitkom, converted to US$) and e-learning 2024 (Ken Research). They overlap, for example security sold as SaaS, and the years differ, so treat TAM as an upper bound. No AI market size was found, so AI is left out. SAM and SOM are our assumptions. You can change them in the revenue model.

    Competitive landscape

    A sovereignty-minded market, so partner, don't fight

Hyperscalers now sell sovereign variants in Germany, German groups run the federal sovereign cloud, and global colocation firms own most Frankfurt capacity. We list the facts neutrally. Most local providers are partner candidates as much as competitors.

    Four entry models, one recommendation

    Risks & mitigations

    HighProvider-origin preference

91% of firms would prefer German cloud providers and only 8% prefer US ones; buyers weigh origin heavily.

Mitigation: German partner DCs, German contracts through partners, and full transparency on where support staff sit.
    HighMature competition

Hyperscaler sovereign clouds, Delos, STACKIT and T-Systems already serve regulated buyers.

Mitigation: lead with managed security, digital trust and AI skills for the Mittelstand, not raw compute.
    MediumC5 evidence gap

Health buyers must use C5-attested cloud, and public frameworks use C5 as a baseline.

Mitigation: C5-attested partner infrastructure first, own C5 Type 1 scoped in phase 2.
    MediumData transfers to India

Mumbai support is a third-country transfer under GDPR, and DORA buyers audit every provider.

Mitigation: German hosting by default, SCCs for support access, and a DORA evidence pack.
    MediumLegal change

The EnEfG amendment is pending, and KRITIS details depend on further ordinances and guidance.

Mitigation: a quarterly legal review with German counsel, and refreshes to this page.
    MediumPower & capacity constraints

Frankfurt has very low short-term availability, and EMEA grid connections take 5.2 years on average.

Mitigation: reserve partner capacity early and keep GPU and DR loads flexible between sites.
    MediumLanguage & trust

Mittelstand and public buying happens in German, through long-standing Systemhaus relationships.

Mitigation: a native country lead, localised content, and partner engineers trained by XcellHost.
    LowerFX & collections

Changes in EUR, INR and USD rates, plus partner credit risk.

Mitigation: an EUR price book, prepaid or quarterly billing, and partner credit limits.

    FAQ

    Questions partners will ask

Short answers based on the laws and sources above. Not legal or tax advice.

Not for phase 1. The plan sells through German DC partners and Systemhaus or MSP partners first. A GmbH needs 25,000 euros of share capital, with at least 12,500 euros paid in before it is entered in the commercial register, so we plan to open one between month 6 and 12. It gives customers and public frameworks a German contracting party and lets us issue German e-invoices.

It can be transferred, but not by default. Under GDPR, processing in India is a transfer to a third country and needs a transfer tool such as the European Commission's standard contractual clauses. Health data under section 393 SGB V may only go to C5-attested cloud providers, and public buyers expect German hosting. So customer data stays in XcellHost's Frankfurt and Düsseldorf partner DCs, and Mumbai runs tooling, monitoring and second-line support under SCCs.

Not for every buyer, but for some it is decisive. Hospitals and other providers under SGB V may process health and social data only with C5-attested cloud providers, and the federal sovereign AI cloud uses ISO 27001 and C5 as its baseline. The BSI published C5:2026 in March 2026; Type 2 audit periods starting from 1 June 2027 must use it. Attestations follow ISAE 3000 and come from audit firms. We plan to deliver regulated workloads on C5-attested partner infrastructure first and scope our own attestation in phase 2.

The NIS2 Implementation Act took effect on 6 December 2025 without a transition period. Medium and large firms in covered sectors must self-assess, register with the BSI, run risk management, and report significant incidents with an early warning in 24 hours, a report in 72 hours and a final report in one month. Management must approve and oversee the measures. Fines reach 10 million euros or 2% of turnover for essential entities. The registration grace period ended on 31 July 2026.

The Digital Omnibus on AI took effect on 27 July 2026. It moved Annex III high-risk duties to 2 December 2027 and Annex I product duties to 2 August 2028. Transparency duties have applied since 2 August 2026, and AI literacy since 2 February 2025. Germany's KI-MIG took effect on 29 July 2026 and makes the Bundesnetzagentur the central AI market-surveillance authority. Customers need an AI inventory, risk classification and staff training, which is a natural opening for governance advisory and AI literacy cohorts.

German VAT is 19% standard and 7% reduced; how it applies to services from India depends on the place-of-supply rules, so confirm reverse-charge treatment with an adviser. Royalties paid abroad carry 15% withholding tax, or 10% under the India treaty, which can matter for software licences. A German GmbH pays 15.825% corporation tax including the solidarity surcharge, plus municipal trade tax, about 30 to 33% combined in large cities, with corporation tax falling from 2028. Get advice for each contract structure.

Analysts define markets differently. For cloud, Fortune Business Insights puts 2025 at 53.94 billion US dollars and Mordor at 56.52 billion. For data centres, Bitkom counts 2,980 MW for all of Germany, while Frankfurt alone is put at 745 MW of IT load by Black Ridge and 981 MW operational by Cushman and Wakefield. We show both ends with sources and do not average them.

No. The 18-month goals and the revenue model use assumptions for target accounts, win rates and contract values, chosen to start a discussion. Change them in the revenue model. Only the market-size, legal and macro figures come from cited third parties.
